Terms of Service

Effective Date: April 16, 2025

1. Agreement Overview
   These Terms of Service (“Agreement”) govern your (“Subscriber” or “User”) annual subscription to the Cordia platform (“Service”) provided by BioPro Scientific (“Company,” “we,” or “us”). By subscribing to or using the Service, you agree to be bound by this Agreement.
2. License Grant
   We grant you a non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal research and development purposes during the subscription term.
3. Subscription Term and Renewal

• The subscription is valid for one year from the purchase date, unless terminated earlier.
• Subscriptions automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least 30 days before the end of the current term.

4. Fees and Payment

• Fees are specified at the time of purchase and are due within 30 days of invoicing.
• Failure to pay on time may result in suspension or termination of service access.

5. Use Restrictions
   You agree not to:

• Use the Service for any commercial purposes beyond internal use.
• Copy, modify, or distribute the Service.
• Reverse engineer or decompile any part of the Service.
• Share login credentials with unauthorized users.

6. Data and Privacy

• You retain ownership of all data you upload to the Service.
• We may use anonymized, aggregated data to improve the Service.
• Use of the Service is subject to our Privacy Policy.

7. Intellectual Property
   All intellectual property related to the Service is owned by BioPro Scientific or its licensors.
8. Confidentiality
   Each party agrees to keep confidential any proprietary or non-public information disclosed during the course of this Agreement.
9. Termination

• Either party may terminate this Agreement with 30 days' written notice prior to the end of the subscription term.
• This Agreement may also be terminated immediately in the event of a material breach not cured within 15 days of notice.
• Upon termination, access to the Service will be revoked and all related materials must be deleted.

10. Disclaimers and Limitation of Liability

• The Service is provided “as is” with no warranties of any kind.
• BioPro Scientific shall not be liable for any indirect or consequential damages arising from use of the Service.

11. Governing Law and Jurisdiction
    This Agreement is governed by the laws of Taiwan. All disputes will be resolved in the courts located in Hsinchu City, Taiwan.
12. Changes to Terms
    We reserve the right to update these terms. Continued use of the Service after such updates constitutes acceptance of the modified Agreement.
